Our firm assists domestic and foreign-based clients in negotiating, structuring and implementing a vast array of corporate and commercial transactions, including mergers and acquisitions, financings, restructurings, joint ventures, and day-to-day operations. We advise many foreign-based clients with respect to their United States operations and acquisitions. Our firm represents clients in public and private equity offerings, secured, unsecured, LBO, MBO and work-out loans, and leasing and off-balance sheet financings. We also assist clients in the formation and operation of publicly offered investment vehicles and the formation and administration of closely-held corporations, limited liability companies, joint ventures, partnerships, funds, and technology and distribution start-ups. Our services have also involved the domestic and international sale of goods and services, employer/employee and non competition matters, and franchising and distributorships.

Our attorneys have represented clients in a number of successful tender offers, initial, secondary and global public offerings of securities, and negotiated acquisitions, dispositions, financings and recapitalizations. We have represented domestic and foreign issuers and investors in private placements of complex debt and equity securities. These and other transactions involved the preparation of filings with various federal and state authorities which regulate companies engaging in these transactions, including pre-merger notification and Securities and Exchange Commission review. We have also advised a number of public companies in their successful defense of hostile takeover attempts.

We have considerable experience in lending transactions, having represented both banks and other lenders, as well as a broad spectrum of corporate and individual borrowers. Our experience includes secured and unsecured commercial loans, trade finance, acquisition-related loans and real estate loans, for both borrowers and lenders. We have represented lenders in both the prosecution and defense of lender liability and business fraud claims, in addition to our work in loan enforcement proceedings. We have also assisted banks and other lenders in regulatory and fraud prevention matters.

Our firm has extensive experience in representing LBO, MBO, venture capital and angel funds in connection with their portfolio company acquisitions and investments, and start-up and e-commerce ventures. We have substantial experience in working with entrepreneurs and high technology companies on such matters as capital formation and technology development, acquisitions and licensing. Our experience in both traditional "bricks and mortar" business transactions and "new economy" transactions allows us to be a bridge for our clients to assist them in both arenas.
